These Terms and Conditions (“Terms”) govern your access to and use of DugoutPal, including its websites, applications, software, features, content, and related services collectively referred to as the “Service.”
The Service is operated by Rogue Tech LLC, doing business as DugoutPal (“DugoutPal,” “Rogue Tech,” “we,” “us,” or “our”).
By creating an account, starting a free trial, purchasing a subscription, joining a team, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you are using DugoutPal on behalf of a team, league, club, school, company, or other organization, you represent that you have authority to accept these Terms on its behalf.
If you do not agree to these Terms, you may not use the Service.
1. Eligibility and Authorized Users
DugoutPal is intended for coaches, team administrators, league administrators, organization representatives, and other authorized adults.
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or purchase a subscription.
Youth players may be represented within team rosters, statistics, notes, videos, evaluations, and other team records, but children are not permitted to independently create or manage DugoutPal accounts unless DugoutPal expressly introduces a separate feature allowing such access with appropriate authorization.
When you invite assistant coaches, administrators, or other users to a team, you are responsible for ensuring that they are authorized to access the team’s information. Team owners and organization administrators are responsible for managing access to their teams.
2. The DugoutPal Service
DugoutPal provides tools that may help coaches and organizations manage and evaluate baseball or softball teams, including tools for:
- Team and roster management;
- Importing statistics, box scores, game information, and other team data;
- Recording player notes, evaluations, and development information;
- Generating suggested practice plans;
- Generating suggested batting orders, lineups, rotations, or player-development recommendations;
- Uploading and reviewing swing videos or other athletic footage;
- Tracking player development over time; and
- Accessing other coaching, organizational, reporting, and artificial-intelligence-assisted features.
Features may be added, modified, limited, suspended, or discontinued as the Service develops. We do not guarantee that every feature will remain available or that every feature will be included in every subscription plan.
3. AI-Generated Recommendations
Certain DugoutPal features use artificial intelligence and automated systems to generate suggestions, summaries, evaluations, practice plans, batting orders, swing observations, reports, and other content.
AI-generated content may be inaccurate, incomplete, outdated, inconsistent, or inappropriate for a particular player or situation. DugoutPal does not guarantee the accuracy or effectiveness of any AI-generated output.
All AI-generated content is provided as a suggestion only. Coaches and authorized adults remain responsible for reviewing, editing, accepting, rejecting, or ignoring every recommendation.
You agree not to rely solely on DugoutPal for decisions involving:
- Player health, pain, fatigue, injury, or readiness to participate;
- Medical treatment or diagnosis;
- Pitch-count or rest requirements;
- Player safety;
- League eligibility or compliance;
- Playing time or disciplinary decisions; or
- Any decision that could materially affect a player’s health or well-being.
DugoutPal is not a medical service and does not provide medical, physical therapy, athletic training, legal, or professional certification advice. Concerns about a player’s health or safety should be directed to a qualified healthcare professional or other appropriate professional.
You are responsible for confirming that practices, drills, workloads, lineups, and recommendations are appropriate for the players’ ages, abilities, physical conditions, league rules, and available supervision.
4. Accounts and Account Security
You agree to provide accurate, current, and complete account information.
You are responsible for:
- Maintaining the confidentiality of your login credentials;
- Activities conducted through your account;
- Keeping your contact and billing information current;
- Properly managing team-member access; and
- Promptly notifying us of suspected unauthorized access.
You may not share login credentials between individuals or allow an unauthorized person to access the Service through your account.
Contact us immediately at support@dugoutpal.com if you believe an account has been compromised.
5. Teams and Organization Accounts
DugoutPal subscriptions are generally purchased and managed on a per-team, per-month basis unless a different arrangement is shown during checkout or agreed to in writing.
A team owner or organization administrator may invite assistant coaches and other authorized users. The team owner or subscribing organization is responsible for activity performed by users it invites.
The person or organization that creates or pays for a team subscription will generally control the team workspace, including membership, billing, and access permissions. Disputes between coaches, organizations, parents, volunteers, or former team members concerning ownership or access must generally be resolved by those parties.
We may rely on the instructions of the designated team owner or organization administrator unless we determine that additional verification is necessary.
6. Free Trials
DugoutPal may offer a free trial to eligible new teams or organizations. The duration, included features, eligibility requirements, and any other trial conditions will be disclosed when the trial begins.
Unless otherwise stated:
- A free trial may be limited to one trial per customer, organization, team, payment method, or household;
- Trial access may not include every paid feature;
- We may modify or discontinue trial offers at any time; and
- Attempts to obtain multiple free trials through duplicate or misleading accounts are prohibited.
When a free trial automatically converts into a paid subscription, the price, billing frequency, trial expiration date, and conversion terms will be presented before you agree to begin the trial.
If payment information is required, you authorize DugoutPal and its payment processor to charge the applicable subscription price when the trial ends unless you cancel before the deadline shown during signup.
7. Subscriptions and Automatic Renewal
Paid DugoutPal subscriptions automatically renew each month unless canceled.
By purchasing a subscription or starting a trial that converts to a paid subscription, you authorize DugoutPal and its payment processor to charge the applicable subscription fees and taxes to your selected payment method.
Subscription pricing is displayed during checkout. Pricing may vary based on the number of teams, organization arrangements, promotions, grandfathered plans, or other plan terms.
Unless otherwise stated during checkout:
- Each subscription covers one team;
- Billing occurs monthly;
- The subscription continues until canceled;
- Charges are made at the beginning of each billing period; and
- Adding another team may require an additional subscription.
You must provide accurate and current payment information. If a payment fails, we may retry the payment, request a different payment method, restrict paid features, or suspend the affected team.
Payments may be processed by Stripe or another third-party payment processor. Your payment information is also subject to the processor’s applicable terms and privacy practices.
8. Cancellation
You may cancel a team subscription through the billing or account settings provided within DugoutPal. You may also contact us at support@dugoutpal.com if you cannot access the cancellation controls.
Cancellation becomes effective at the end of the current paid billing period unless otherwise stated. You will generally retain paid access until that period ends.
After the paid period expires:
- The team may be moved to a free or read-only status;
- Existing roster information, practices, notes, statistics, uploaded files, and settings may remain accessible;
- New AI practice-plan generation may be disabled;
- AI batting-order and lineup generation may be disabled;
- Swing analysis and other AI analysis may be disabled;
- Premium reports and chat features may be disabled; and
- Creation of new practices or other premium content may be restricted.
You may reactivate an eligible team by purchasing a new subscription.
DugoutPal currently intends to retain canceled team data in read-only form, subject to the Privacy Policy, user deletion requests, legal requirements, security considerations, account termination, and any future data-retention limits communicated to users.
You are responsible for maintaining copies of information you need. DugoutPal is not a permanent archival or record-storage service.
9. Refunds
Except where required by law or expressly stated otherwise during checkout, subscription payments are nonrefundable.
Canceling a subscription prevents future renewals but does not ordinarily result in a refund or credit for:
- A partially used billing period;
- An unused account;
- A failure to cancel before a renewal;
- A team’s shortened or canceled season;
- A decision not to use available features; or
- Removal of a coach or team member.
We may issue refunds, credits, or account adjustments at our discretion. Doing so in one situation does not require us to do so in another.
10. Pricing Changes
We may change subscription prices or plan features.
For an existing subscription, a material price increase will take effect no earlier than the next renewal following any notice required by applicable law. Continuing the subscription after the new price takes effect constitutes acceptance of the updated price.
Promotional or discounted pricing may expire according to the terms presented with the promotion.
11. Player Information and Minors
DugoutPal may allow authorized adults to enter or upload information relating to youth athletes, including names, team assignments, statistics, videos, notes, evaluations, physical measurements, performance information, and development history.
By providing information about a minor, you represent and warrant that:
- You are authorized by the applicable team or organization to provide the information;
- You have obtained any parent or legal guardian permission required by law, league policy, organizational policy, or contract;
- Providing the information does not violate any privacy, publicity, confidentiality, intellectual-property, or other rights;
- The information is relevant to legitimate team-management or player-development purposes; and
- You will remove or correct information when you no longer have authority to maintain it.
Organizations and coaches are responsible for determining whether additional notices, releases, or consents are required before uploading information about minors.
You may not use DugoutPal to collect or store information about children for advertising, profiling unrelated to athletics, unlawful discrimination, or other unauthorized purposes.
Unless specifically requested through a designated DugoutPal feature, you should not upload Social Security numbers, financial information, medical records, medical diagnoses, insurance information, government identification numbers, or other highly sensitive information.
Our collection and handling of personal information is described in the DugoutPal Privacy Policy available at https://www.dugoutpal.com/privacy.
12. User Content
“User Content” means information or material submitted, imported, uploaded, entered, recorded, or created by users through the Service. User Content may include rosters, statistics, notes, documents, photographs, videos, practice information, messages, evaluations, and other team data.
As between you and DugoutPal, you retain ownership of your User Content.
You grant DugoutPal a nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, format, and otherwise use User Content as reasonably necessary to:
- Provide and maintain the Service;
- Generate requested reports and recommendations;
- Process information through service providers;
- Protect the security and integrity of the Service;
- Provide support;
- Comply with legal obligations; and
- Improve the functionality and reliability of the Service, subject to the Privacy Policy.
This license continues only for as long as reasonably necessary to provide the Service, comply with legal obligations, resolve disputes, maintain backups, and enforce these Terms.
You represent that you have all rights and permissions necessary to submit User Content and grant this license.
13. Videos, Photographs, and Publicity Rights
Before uploading a photograph or video of another person, including a minor, you must have permission to record, possess, upload, and process that content.
You are responsible for obtaining any required:
- Parent or guardian consent;
- Player release;
- Team or league authorization;
- Facility recording permission; or
- Photographer or videographer permission.
Uploading a video for swing analysis does not grant DugoutPal ownership of the video. However, the limited license in Section 12 allows us and our authorized service providers to process the video to deliver the requested analysis.
Do not upload private recordings from locker rooms, bathrooms, medical settings, or other locations where a person would reasonably expect a heightened level of privacy.
14. Imported and Third-Party Data
DugoutPal may allow you to import or enter information obtained from third-party services, files, spreadsheets, scorekeeping platforms, or other sources.
You are responsible for ensuring that you are authorized to access, export, copy, and use imported data.
References to third-party products or services do not imply sponsorship, endorsement, partnership, or affiliation. DugoutPal is not responsible for the accuracy, availability, security, or practices of third-party services.
Third-party services may change their systems or restrict access, which may cause an integration or import feature to stop functioning.
15. Acceptable Use
You may use DugoutPal only for lawful purposes and in accordance with these Terms.
You may not:
- Use the Service without proper authority;
- Impersonate another person or organization;
- Upload information you do not have permission to use;
- Harass, threaten, exploit, or endanger any person;
- Publish private player information to unauthorized people;
- Use the Service to unlawfully discriminate against a player;
- Upload malware, malicious code, or harmful files;
- Attempt to gain unauthorized access to an account, database, or system;
- Interfere with the operation or security of the Service;
- Circumvent subscription limits or access controls;
- Use automated systems to scrape, copy, or extract the Service without permission;
- Reverse engineer, decompile, or attempt to discover nonpublic source code, except where such restrictions are prohibited by law;
- Resell, sublicense, or commercially exploit access to the Service without written permission;
- Use DugoutPal output to develop or train a competing product or AI system;
- Misrepresent AI-generated recommendations as professional medical or certified coaching advice; or
- Use the Service in violation of applicable laws, league rules, or organizational policies.
16. DugoutPal Intellectual Property
DugoutPal and its licensors own the Service, including its software, interface, designs, branding, text, graphics, databases, workflows, models, reports, templates, and other materials, excluding User Content.
These Terms give you a limited, revocable, nonexclusive, nontransferable right to access and use the Service for your internal team or organizational purposes during an active trial or subscription.
No ownership rights in DugoutPal are transferred to you.
“DugoutPal,” its logos, and associated branding may not be used without prior written permission.
17. Feedback
If you submit suggestions, ideas, feature requests, corrections, or other feedback, you grant DugoutPal a perpetual, worldwide, irrevocable, royalty-free right to use that feedback without restriction or compensation.
This provision does not transfer ownership of your private team data or User Content.
18. Service Availability and Changes
We work to maintain a reliable Service, but we do not guarantee uninterrupted or error-free access.
The Service may be unavailable because of maintenance, updates, internet failures, third-party provider failures, security incidents, technical problems, or circumstances outside our reasonable control.
We may establish reasonable technical limits relating to file size, video length, storage, AI usage, processing volume, team size, or other Service resources. Plans described as “unlimited” remain subject to reasonable-use restrictions intended to prevent abuse, automated exploitation, resale, or activity that materially interferes with other users.
We may modify features when reasonably necessary to improve the Service, address security or legal concerns, prevent abuse, or respond to changes in third-party technology.
19. Beta and Experimental Features
Some features may be identified as beta, preview, experimental, or early access.
These features may be incomplete, inaccurate, unstable, or discontinued without notice. You use them at your own risk, and they may be subject to additional conditions.
20. Suspension and Termination
We may suspend or terminate access to all or part of the Service if:
- You violate these Terms;
- Payment remains overdue;
- Your use creates a security or legal risk;
- Your use could harm a player, another user, DugoutPal, or a third party;
- We are required to do so by law;
- Your account appears fraudulent or unauthorized; or
- Continued access could disrupt the Service.
When reasonably possible, we may provide notice and an opportunity to correct the issue before termination. Immediate action may be taken when necessary to protect users, minors, systems, or legal rights.
You may stop using DugoutPal at any time. Subscription cancellation is governed by Sections 8 and 9.
Sections that by their nature should continue after termination will survive, including sections concerning ownership, payment obligations, disclaimers, liability limitations, indemnification, disputes, and enforcement.
21. Privacy and Security
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information.
You agree that DugoutPal may process information as described in the Privacy Policy and may use third-party hosting, payment, analytics, communications, storage, and artificial-intelligence service providers to operate the Service.
We use reasonable measures designed to protect information, but no internet service or data-storage system can guarantee absolute security.
You are responsible for using appropriate device security, protecting login credentials, removing access for former coaches, and avoiding unnecessary disclosure of sensitive player information.
22. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL RELATED CONTENT, RECOMMENDATIONS, ANALYSES, AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
DUGOUTPAL DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND RESULTS.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE;
- AI-GENERATED CONTENT WILL BE ACCURATE OR APPROPRIATE;
- USING A RECOMMENDATION WILL IMPROVE PLAYER OR TEAM PERFORMANCE;
- THE SERVICE WILL SATISFY ANY LEAGUE, SCHOOL, ORGANIZATION, OR REGULATORY REQUIREMENT; OR
- STORED INFORMATION WILL NEVER BE LOST OR DAMAGED.
Some jurisdictions do not allow certain warranty disclaimers, so portions of this section may not apply to you.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUGOUTPAL, ROGUE TECH LLC, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
THIS INCLUDES DAMAGES ARISING FROM:
- LOST DATA;
- LOST REVENUE OR PROFITS;
- LOSS OF GOODWILL;
- SERVICE INTERRUPTION;
- UNAUTHORIZED ACCOUNT ACCESS;
- RELIANCE ON AI-GENERATED CONTENT;
- PLAYER SELECTION OR PLAYING-TIME DECISIONS;
- ATHLETIC INJURY;
- LEAGUE OR RULE VIOLATIONS; OR
- THIRD-PARTY SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- The amount you paid to DugoutPal for the affected team during the 12 months immediately preceding the event giving rise to the claim; or
- One hundred dollars.
These limitations apply regardless of the legal theory asserted and even if we were advised that damages were possible.
Some jurisdictions do not permit certain liability limitations, so portions of this section may not apply to you.
24. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless DugoutPal, Rogue Tech LLC, and their owners, employees, contractors, service providers, and affiliates from claims, liabilities, damages, judgments, losses, and reasonable legal expenses arising from:
- Your use or misuse of the Service;
- Your User Content;
- Your violation of these Terms;
- Your violation of another person’s rights;
- Your failure to obtain required consent for player information, photographs, or videos;
- Actions taken by users you invited to a team;
- Your violation of league, organization, school, or team requirements; or
- A dispute between you and another coach, player, parent, team, or organization.
DugoutPal may control the defense of a covered claim, and you agree to reasonably cooperate.
25. Governing Law and Disputes
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
Before filing a lawsuit, you and DugoutPal agree to make a good-faith effort to resolve the dispute informally. A written dispute notice must describe the issue and requested resolution and must be sent to:
If the dispute is not resolved within 30 days after receipt of the notice, either party may pursue available legal remedies.
Unless applicable law requires otherwise, disputes must be brought in the state court located in the North Carolina county where Rogue Tech LLC maintains its principal office or in the federal court having jurisdiction over that location.
Nothing in this section prevents either party from seeking temporary or emergency relief necessary to protect confidential information, intellectual property, account security, or personal safety.
26. Changes to These Terms
We may update these Terms from time to time.
When changes are material, we will provide notice through the Service, by email, or through another reasonable method. Updated Terms will state a new effective date.
Changes will apply prospectively unless otherwise required by law. Continuing to use the Service after updated Terms become effective constitutes acceptance of the revised Terms.
Changes to subscription pricing are also governed by Section 10.
27. Electronic Communications
You agree to receive agreements, notices, receipts, billing communications, disclosures, and other information electronically.
Electronic communications satisfy legal requirements that communications be in writing to the extent permitted by law.
You are responsible for maintaining a current email address and reviewing notices sent to your account.
Marketing emails may be subject to separate consent and unsubscribe options.
28. Assignment
You may not transfer or assign your account or rights under these Terms without our written permission.
We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the DugoutPal business.
29. Force Majeure
DugoutPal is not responsible for delays or failures caused by circumstances outside its reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, labor disputes, utility failures, internet outages, government actions, epidemics, cyberattacks, or failures of third-party infrastructure.
30. Severability and Waiver
If a provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or removed, and the remaining provisions will remain effective.
A failure to enforce a provision is not a waiver of the right to enforce it later.
31. Entire Agreement
These Terms, the Privacy Policy, the plan and pricing terms presented during checkout, and any additional written agreement between you and Rogue Tech LLC constitute the entire agreement concerning the Service.
If an organization has a separate signed agreement with Rogue Tech LLC, that agreement will control to the extent it directly conflicts with these Terms.
